THE WHISKEY LAB — TERMS OF SERVICE

These Terms of Service (“Terms”) constitute a binding legal agreement between you (“you,” “User”) and The Whiskey Lab, LLC, a Virginia limited liability company (“The Whiskey Lab,” “TWL,” “we,” “us,” or “our”), governing your access to and use of the website located at www.thewhiskeylab.com and any affiliated webpages, subdomains, content, features, or online services (collectively, the “Site”).

By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Site.

1.   Eligibility

The Site is intended solely for individuals who are twenty-one (21) years of age or older. By using the Site, you represent and warrant that you are at least 21 years old and legally permitted to access alcohol-related content under applicable law. Use of the Site in jurisdictions where access to alcohol-related content is prohibited is strictly forbidden.

We reserve the right to restrict, suspend, or terminate access to the Site at any time if we believe you do not meet this requirement.

2.   Nature and Purpose of the Site

The Site is provided for informational, editorial, educational, marketing, and brand-building purposes only. Content may include descriptions of whisky, spirits, bottlers, distilleries, historical material, events, tastings, retailers, commentary, and related industry information.

Nothing on the Site constitutes legal, regulatory, financial, investment, tax, or medical advice. The Site does not constitute an offer to sell alcoholic beverages and does not operate as an online liquor store owned or operated by TWL.

3.   Alcohol Sales and Third-Party Fulfillment

The Whiskey Lab does not sell, offer for sale, or independently market alcoholic beverages through the Site. The Whiskey Lab is not the seller of record for any alcoholic beverage transaction conducted through the Site.

All alcoholic beverages referenced, displayed, or made available through the Site are sold, accepted, fulfilled, and delivered solely by properly licensed third-party retailers, distributors, importers, or fulfillment partners (“Licensed Fulfillment Partners”), each of whom acts as the exclusive seller of record for its respective transactions.

The Site may include shopping cart, checkout, or e-commerce functionality. Such functionality is provided solely as a technical interface to enable users to submit purchase requests to Licensed Fulfillment Partners. The submission of an order through the Site does not constitute acceptance of that order by The Whiskey Lab. All orders are accepted, rejected, processed, and fulfilled exclusively by the applicable Licensed Fulfillment Partner in its sole discretion.

Title to and ownership of alcoholic beverages pass from the Licensed Fulfillment Partner to the purchaser at the Licensed Fulfillment Partner’s licensed premises, not from The Whiskey Lab.

The Whiskey Lab does not take title to, store, warehouse, ship, deliver, or physically handle alcoholic beverages unless expressly stated in writing for a specific transaction governed by a separate agreement.

Any importer, brand ownership, marketing, or wholesale activities conducted by The Whiskey Lab occur outside the scope of this Site and are governed by separate agreements and applicable regulatory frameworks.

4.   Transactions With Licensed Fulfillment Partners

All purchases of alcoholic beverages initiated through the Site are transactions solely between you and the applicable Licensed Fulfillment Partner. Licensed Fulfillment Partners retain exclusive authority over order acceptance or rejection, pricing, taxes, fees, inventory, fulfillment methods, delivery timelines, refunds, cancellations, and compliance with applicable laws.

The Whiskey Lab does not control and does not guarantee Licensed Fulfillment Partner inventory levels, pricing accuracy, product availability, fulfillment performance, or delivery outcomes.

You are solely responsible for ensuring that any purchase, shipment, receipt, possession, or consumption of alcoholic beverages complies with all applicable federal, state, and local laws. The Whiskey Lab makes no representation that any product referenced on the Site is lawful for purchase, shipment, or delivery in your jurisdiction.

5.   Payments

Payments for alcoholic beverage purchases submitted through the Site are processed on behalf of, and for the benefit of, the applicable Licensed Fulfillment Partner. The Whiskey Lab does not act as the merchant of record, payment processor, or settlement agent unless expressly disclosed in writing for a specific transaction.

Pricing, taxes, shipping fees, service fees, and other charges are determined solely by the Licensed Fulfillment Partner and may vary based on jurisdiction, product availability, and applicable law.

The Whiskey Lab does not control payment authorization, settlement, refunds, chargebacks, or payment disputes. All payment-related inquiries, disputes, or refund requests must be directed to the applicable Licensed Fulfillment Partner.

6.   Shipping, Delivery, and Risk of Loss

Shipping, delivery, and logistics services for alcoholic beverages are provided solely by Licensed Fulfillment Partners or their authorized third-party carriers. The Whiskey Lab does not provide transportation, delivery, or logistics services.

Risk of loss, damage, or delay passes according to the Licensed Fulfillment Partner’s terms and applicable law. The Whiskey Lab is not responsible for delivery delays, carrier errors, weather disruptions, loss, theft, damage during transit, failed deliveries, or issues arising from recipient unavailability.

Age verification and legal eligibility verification at the time of delivery or pickup are the sole responsibility of the Licensed Fulfillment Partner and its authorized carriers. Orders may be refused, cancelled, or returned if identification or legal requirements are not satisfied, and restocking or handling fees may apply pursuant to the Licensed Fulfillment Partner’s policies.

All delivery-related disputes must be resolved directly between you and the applicable Licensed Fulfillment Partner.

7.   Returns, Cancellations, and Refunds

The Whiskey Lab does not issue refunds for alcoholic beverage purchases and is not responsible for retailer-specific return policies, restocking fees, or refusal of service. All refund, cancellation, or return requests must be directed to the applicable Licensed Fulfillment Partner.

8.   Third-Party Websites and Services

The Site may contain links to or integrations with third-party websites, platforms, payment processors, analytics services, social media platforms, or Licensed Fulfillment Partners. The Whiskey Lab does not control and is not responsible for the content, availability, accuracy, security, or practices of any third party. Your interactions with third parties are at your own risk and governed by their respective terms and privacy policies.

9.   Accuracy of Content

While we strive to provide accurate and current information, the Site may contain errors, omissions, or outdated content. All content is provided “as is” for general informational purposes only. We reserve the right to modify or remove content at any time without notice.

10.                 User Accounts

If you create an account or submit information through the Site, you agree to provide accurate, current, and complete information and to maintain the confidentiality of your credentials. You are responsible for all activity conducted under your account. The Whiskey Lab is not liable for unauthorized access resulting from your failure to safeguard account information.

11.                 Acceptable Use

You agree not to use the Site for unlawful purposes, misrepresent your age or identity, violate alcohol laws or regulations, scrape or extract data, interfere with Site security, upload malicious code, infringe intellectual property or privacy rights, or use the Site for unauthorized commercial purposes.

We reserve the right to restrict, suspend, or terminate access for any violation.

12.                 User Submissions

If you submit reviews, comments, images, videos, or other content, you grant The Whiskey Lab a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, display, distribute, and modify such content for Site operation, marketing, and promotion. You represent that you have all necessary rights to grant this license.

13.                 Intellectual Property

All Site content, including text, graphics, logos, images, layout, and software, is owned by or licensed to The Whiskey Lab and protected by intellectual property laws. No rights are granted except as expressly stated. Unauthorized use may result in legal action.

14.                 Disclaimers of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WHISKEY LAB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE WHISKEY LAB DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.

15.                 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WHISKEY LAB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR THIRD-PARTY SERVICES.

16.                 Indemnification

You agree to indemnify and hold harmless The Whiskey Lab and its members, managers, officers, employees, and agents from any claims, damages, liabilities, losses, and expenses, including reasonable attorneys’ fees, arising from your use of the Site, violation of these Terms, or unlawful purchase, shipment, receipt, possession, or consumption of alcoholic beverages.

17.                 Governing Law and Venue

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws principles. Any dispute not subject to mandatory arbitration shall be brought exclusively in the state or federal courts located in Virginia. To the fullest extent permitted by law, the parties waive any right to a jury trial.

18.                 Changes and Termination

We may modify the Site or these Terms at any time. Changes become effective upon posting. Continued use constitutes acceptance. We may suspend or terminate access to the Site at any time for any reason.

19.                 Miscellaneous

These Terms constitute the entire agreement regarding the Site. If any provision is held invalid, the remaining provisions remain enforceable. No waiver is effective unless in writing. The Whiskey Lab may assign these Terms in connection with a restructuring, sale, or merger. Nothing herein creates a partnership, joint venture, agency, or fiduciary relationship.
